Job Details
We are seeking an experienced associate to join a sophisticated corporate and capital markets practice. This role involves advising on public securities matters and complex corporate transactions for a diverse range of clients, including issuers, financial institutions, and investors. The work is substantive and fast-moving, offering meaningful responsibility and regular exposure to high-level decision-making. Associates are expected to manage core aspects of matters, collaborate closely with senior lawyers, and contribute thoughtfully to transaction strategy.
This position is well suited for attorneys looking to deepen their capital markets expertise while remaining actively engaged in broader corporate work.

Responsibilities
- Advise on public and private securities offerings and ongoing regulatory compliance
- Draft and review offering documents, registration materials, and disclosure filings
- Prepare and negotiate corporate and securities transaction documents
- Support corporate governance matters and public company reporting obligations
- Assist with strategic transactions involving public companies as needed
- Coordinate with internal teams and external counterparties throughout transactions
Qualifications
- Background in public securities and general corporate work at a well-regarded law firm
- Experience representing issuers, financial institutions, and/or investors
- Familiarity with securities offerings and public company compliance requirements
- Strong drafting, analytical, and issue-spotting skills
- Ability to manage multiple matters efficiently in a collaborative environment
Requirements
- 3–6 years of relevant corporate and capital markets experience
- Experience with securities offerings and related regulatory frameworks
- Comfort drafting complex transactional and disclosure documents
- Experience involving cross-border or strategic transactions is a plus
- Licensed and in good standing in at least one U.S. jurisdiction
